Terms of Service

1. Agreement to these Terms
These Terms of Service (the “Terms”) are a binding agreement between AtlasHire, Inc. (“AtlasHire,” “we,” “us,” or “our”) and the individual or entity that accesses or uses our websites, applications, APIs, and related services (collectively, the “Services”). By creating an account, clicking to accept, or otherwise accessing or using the Services, you agree to these Terms, our Privacy Policy, our Data & AI Use Policy, and our User Agreement, each incorporated by reference. If you do not agree, do not use the Services.
If you use the Services on behalf of an organization (a “Customer”), you represent that you are authorized to bind that organization, and “you” refers to both you and that organization. We may update these Terms at any time; the “Effective” date above reflects the current version, and your continued use after changes constitutes acceptance.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. Authentication and account management are provided through our identity provider; you are responsible for actions taken by your team members and authorized users.
3. The Services; decision-support only
AtlasHire provides software to help hiring teams schedule, conduct, record, transcribe, and evaluate technical interviews and assessments, including AI-assisted features that generate suggestions, summaries, scores, and other outputs. The Services are a decision-support tool only. AtlasHire does not make, and is not a substitute for, employment or hiring decisions. All outputs require independent human review, and you are solely responsible for any decision you make.
We may modify, suspend, or discontinue any part of the Services at any time without liability. We may set technical, usage, and storage limits and may change them at any time.
4. Customer responsibilities and legal compliance
As between you and us, you are the controller and employer of record for the data and processes you run through the Services, and you are solely responsible for ensuring your use is lawful. Without limiting the foregoing, you agree that you will:
- obtain all notices, consents, and authorizations required from candidates and other individuals before recording, transcribing, monitoring, processing, or evaluating them — including any consent required for audio/video recording, speech-to-text, behavioral or integrity monitoring, biometric or identity verification, and automated processing;
- comply with all laws applicable to your hiring practices, including equal-employment, anti-discrimination, accommodation, data-protection, biometric, surveillance, and automated-employment-decision laws (for example, U.S. EEOC guidance, NYC Local Law 144 and similar AEDT/bias-audit laws, the Illinois BIPA and AI Video Interview Act, the GDPR/UK GDPR, and comparable laws), including conducting any bias audits, providing any required disclosures, and offering accommodations;
- provide reasonable accommodations to candidates and not rely on the Services in a way that unlawfully discriminates against any individual or protected group;
- ensure you have all rights necessary to submit your content and any candidate or third-party data to the Services and to permit the processing described in our policies.
You acknowledge that we provide tools, not legal advice, and that we do not guarantee that any feature, output, or configuration is compliant with the laws applicable to you.
5. Customer content and license to us
“Customer Content” means data and materials you or your candidates submit to the Services, including resumes, job descriptions, audio/video streams, transcripts, code, chat, whiteboard content, activity and integrity signals, notes, and evaluations. As between the parties, you retain ownership of Customer Content. You grant AtlasHire a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and create derivative works from Customer Content as necessary to operate, secure, support, and improve the Services (including generating AI outputs and producing aggregated or de-identified analytics), and as otherwise described in our Data & AI Use Policy. This license survives to the extent needed for backups, legal compliance, and de-identified data that no longer identifies any individual.
6. Intellectual property
The Services, including all software, models, prompts, designs, and content we provide, are owned by AtlasHire and our licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You may not copy, modify, reverse engineer, resell, or create derivative works of the Services except as expressly permitted. Any feedback you provide may be used by us without restriction or obligation to you.
7. Third-party services
The Services rely on third-party providers (for example, authentication, hosting, real-time audio/video, speech-to-text, AI model, email, identity-verification, and applicant-tracking providers). Your use may be subject to their terms, and we are not responsible or liable for third-party services, their availability, or their acts or omissions. A current list of key subprocessors is described in our Privacy Policy.
8. Fees
If a paid plan or order applies, you agree to pay all fees as described in the applicable order or plan. Except as required by law or expressly stated, fees are non-refundable, and you are responsible for applicable taxes. We may change pricing on a prospective basis.
9. Disclaimers
The Services and all outputs are provided “as is” and “as available,” without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that AI outputs (including scores, summaries, recommendations, or transcriptions) will be accurate, complete, reliable, current, unbiased, or suitable for any purpose. AI features may produce inaccurate or incomplete results and must not be relied upon as the sole basis for any decision. Nothing in the Services constitutes legal, compliance, or employment advice.
10. Limitation of liability
To the maximum extent permitted by law, in no event will AtlasHire or its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Services or these Terms, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages. This includes any liability arising from hiring or employment decisions, candidate claims, AI outputs, or your failure to comply with applicable law.
Our total aggregate liability for all claims relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to us for the Services in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations; in those cases the limitations apply to the fullest extent permitted.
11. Indemnification
You will defend, indemnify, and hold harmless AtlasHire and its affiliates and their respective personnel from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your Customer Content; (b) your use of the Services; (c) your violation of these Terms or any law, including employment, anti-discrimination, privacy, biometric, surveillance, or automated-decision laws; (d) your failure to obtain required candidate notices or consents; or (e) any hiring or employment decision you make.
12. Suspension and termination
We may suspend or terminate your access at any time, with or without notice, including for actual or suspected violation of these Terms, risk to the Services or others, or as required by law. You may stop using the Services at any time. Upon termination, your license ends and we may delete Customer Content in accordance with our retention practices, subject to legal requirements. Sections that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of- laws rules. Any dispute will be resolved by binding individual arbitration on an individual basis, and you and AtlasHire waive any right to a jury trial and to participate in a class, collective, or representative action, to the maximum extent permitted by law. Notwithstanding the foregoing, either party may seek injunctive relief in the state and federal courts located in Delaware, United States to protect its intellectual property or confidential information. Any claim must be brought within one (1) year after it arises, or it is permanently barred.
14. General
These Terms, together with the policies incorporated by reference and any order, are the entire agreement between the parties and supersede prior agreements on the subject. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be provided in-product or by email; notices to us must be sent to legal@atlashire.ai.
